Breakfast Panel: Exploring Corporate Legal Optionality After Listing Rule Reform

There is significant concern about the state and well-being of the UK’s equity capital markets. Last
year at LSE’s Revitalising the FTSE seminar, we explored the role of regulation in the decline of the
FTSE, with a particular focus on Listing Rule Reform. In May of this year the FCA proposed more
wide-ranging Listing Rule reform which significantly extends the scope for current premium listed
companies to opt-out of Listing Rules which UK institutional investors and other market actors
have long held dear.
In this Breakfast Seminar we will discuss other aspects of the UK’s corporate legal and regulatory
ecology, and ask: (i) should the UK embrace optionality in other areas of law and regulation, from,
inter alia, director removal rights, to executive remuneration regulation, to the non-frustration rule
or the mandatory bid rule; (ii) would such reform make a difference to the FTSE’s current
difficulties; and (iii) if not, would such reform be worthwhile in any event for UK companies?
